This is an internal company decision that is best addressed with an operating agreement among the members (Operating Agreement).

If you do not have an Operating Agreement or have never held an organizational meeting, then the LLC members have not established a formal agreement to add or remove members.

Once the organizational meeting has been held and an Operating Agreement has been established among the members, the Operating Agreement must define the steps necessary to add and remove members.

At a minimum, you will need to document the change in writing and have all parties sign it.

Once’s this is done, you will need to notify the State of the changes by submitting an updated Annual Report (Annual Report);

Note: If you want the States database updated immediately, you may be able to submit an “early” Annual Report. Some states will ask you to wait until your next Annual Report is due.

If your state does not list members or does not have an annual report (as in Delaware), you will need to keep an internal record of the change according to your operating agreement.

An LLC can be dissolved as easily as it is created. If you form your LLC and then decide to close it for any reason, you’ll need to simply file the “Articles of Dissolution” with the state and take the money out of the company (if any) and return it to the members.

You will also need to notify the IRS (cancel the EIN and indicate your final tax return; we can help you with that) and any other appropriate government agencies and vendors that the LLC is no longer in business.

Taxation is a delicate and complex argument.

A Corporation is a type of “entity” with a structure with shareholders, directors, and officers; the only difference is how the federal government taxes them. 

A Corporation is taxed once on its net profits (currently 21%) and again when those profits are distributed to the shareholders as “dividends” – this is called “double taxation.”

An LLC is a different type of entity than a Corporation – it has no shareholders, directors, or officers. Instead, it has what is called Members (although they can choose “Manager” to run the LLC, as well as specify titles such as “President,” etc.), and they can also choose to be a member. 

Members can be either a real person or a business entity, and there are no U.S. citizenship requirements.

An LLC is identified primarily by its name.

These include the following additions to the business name: Limited Liability Company (or LLC, or L.L.C.).

For example: “ABC LLC” identifies the company as an LLC.
We strongly recommended to not use words such as: Invest, Investing, Investor, Investments, etc. as name or part of the name of your company, as some state may require you to obtain a license to do business in those states.

Some states requires 1-3 days, others 2-3 weeks or longer.
